Who owns the network?
KeyComm Online's Responsibilities:
- KeyComm Online understands that Licensee will rely on it to provide a highly efficient and exceptionally reliable off-site, outsourced information technology department.
- KeyComm Online accepts Licensee’s contractual commitment to serve as the firm’s Internet Service Provider/Application Service Provider/Independent collaborator for the purpose of relocating the electronic structure of the firm’s computer system and to provide a redundant and reliable source of data and computer management offsite.
- KeyComm Online will meet its responsibilities by utilizing its engineered and proven solution to acquiring, configuring and maintaining the intricate hardware, software, licensing, business specific applications, cost-control, and disaster recovery systems designed to solve the technical, financial, and employee burdens normally associated with in-house technology ownership and management.
Licensee Responsibilities:
- Licensee agrees to provide complete and regular access to authorized KeyComm Online personnel for maintenance, testing, and modification of all onsite CPU workstations, servers, switches, routers or other computer hardware and all related equipment located at Licensee’s regular place of business.
- Licensee agrees to identify and make available all programs, data, license information, addresses, to ensure KeyComm Online has the latest version of all Licensee supplied programs, data, configurations, and connectivity arrangements
Ownership and Rights:
- KeyComm Online’s NexStep System and related software shall be licensed to Licensee for installation and use on a KeyComm Online approved network.
- Licensee retains no right, implied or otherwise, to transport this software to any other CPU workstation or computer system without the express written authorization from KeyComm Online.
- The computer programs, the accompanying database and the associated Licensee documentation are copyrighted.
- The internal aspects and components of our VPN are trade secrets of KeyComm Online and/or its software distributors and consultants.
- New locations: Licensee may, at any time, with prior notice to and consent of KeyComm Online, transfer our VPN access to a new location different than the site of initial installation for accessing by additional fully licensed users employed by or affiliated with Licensee. Transfers resulting in additional users shall be subject to an additional fee and service agreement.
- Multiple Use Options: Licensee shall have the option to extend the license granted hereunder to include use of our VPN at multiple office sites, which it may exercise at any time by tendering to KeyComm Online the payments described in the Subscription Agreement. Licensee shall give timely written notice to KeyComm Online of each additional user accessing our VPN, together with a notice identifying each new user.
- In the event that Licensee’s computer system is networked, each user having access to the KeyComm Online network shall be identified and considered as a separate charge under the monthly recurring charge.
